01Acceptance of these terms

These Terms of Service govern your access to and use of parkwayfoodgroup.com and the tools available on it, including the business assessment, the contact form and the news section (together, the “Site”). The Site is operated by Parkway Food Group (“Parkway”, “we”, “us”).

By using the Site you agree to these terms. If you do not agree, please do not use it. If you are using the Site on behalf of an organisation, you confirm you have authority to bind that organisation to these terms.

02What the Site is, and what it is not

The Site describes Parkway’s advisory, brokerage and investment capabilities and lets you start a conversation with us. It is marketing and informational material.

Using the Site does not create a client, advisory, fiduciary, brokerage or agency relationship between you and Parkway. Such a relationship arises only under a written engagement agreement signed by both parties.

03The business assessment

The assessment is offered in two depths. The Simple version asks one question in each of five disciplines. The Advanced version asks the full set across all five. Both produce an indicative score and written commentary.

What the results mean

• The output is generated automatically from the answers you select. It is a self-reported snapshot, not an audit, valuation, due diligence exercise or professional opinion.
• Scores and priority levels are indicative and directional. They are designed to start a conversation, not to support a decision on their own.
• We have not verified anything you tell us. The quality of the output depends entirely on the accuracy of your answers.
• You should not make investment, financing, transaction, employment or operational decisions in reliance on the assessment alone.

Your submission

By submitting the assessment you confirm the information you have provided is accurate to the best of your knowledge, and you agree we may store your answers and contact you about the results. We handle that information as described in our Privacy Policy.

04News headlines and external links

The news section displays headlines, summaries and links drawn from publicly available RSS feeds published by third-party trade publications. Those headlines and summaries remain the property of their publishers and are shown for reference, with attribution and a link to the original article.

• Parkway is not affiliated with, endorsed by, or speaking for any publication shown.
• We do not author, edit, verify or endorse third-party headlines, and we are not responsible for their accuracy.
• Following a link takes you to a third-party site governed by that site’s own terms and privacy policy.
• Where the feed is unavailable, the section shows Parkway’s own commentary, clearly labelled as such. That commentary is opinion, not reporting.

If you publish one of these feeds and would prefer we did not display your headlines, email drew@parkwayfoodgroup.com and we will remove them promptly.

05Acceptable use

You may view, download and print material from the Site for your own internal business purposes. You may not:

• Copy, republish, redistribute or commercially exploit the Site or its content without our written permission.
• Use automated means to scrape, harvest or systematically extract content or data.
• Attempt to gain unauthorised access to the Site, its servers, or any connected system.
• Interfere with the Site’s operation, including by introducing malicious code or placing unreasonable load on it.
• Submit false, misleading or unlawful information, or information belonging to someone else without their permission.
• Use the Site or anything on it to build, train or benchmark a competing product or service.

06Intellectual property

The Site and everything in it, including text, layout, design, graphics, imagery, the assessment questions, the scoring methodology and the diagnostic commentary, is owned by Parkway Food Group or its licensors and is protected by Canadian and international copyright and trade-mark law.

The Parkway Food Group name, the Parkway Capco, Parkway Food Sales and Parkway Advisors names, and our logo are trade-marks of Parkway. You may not use them without our prior written consent.

Third-party names and logos shown on the Site, including client and partner marks, remain the property of their respective owners and appear for identification purposes only.

07Information you send us

Please do not send us confidential or proprietary information through the contact form or the assessment. Information submitted through the Site is not covered by a confidentiality agreement unless we have signed one with you.

If you send us feedback, suggestions or ideas about the Site or our services, you agree we may use them without restriction and without any obligation to you.

You are responsible for the accuracy and lawfulness of everything you submit, and you confirm you have the right to provide it.

08Availability and changes

We aim to keep the Site available but we do not guarantee uninterrupted access. The Site may be unavailable during maintenance, or because of factors outside our control, including failures of the hosting, font, script or feed services it depends on.

We may change, suspend or withdraw any part of the Site, including the assessment, at any time and without notice. We may also update these terms. The date at the top of this page shows when they were last revised, and continued use after a change means you accept the revised terms.

09Disclaimers

The Site and its content are provided on an “as is” and “as available” basis. To the fullest extent permitted by law, Parkway disclaims all representations, warranties and conditions of any kind, whether express, implied or statutory, including any implied warranty of merchantability, fitness for a particular purpose, accuracy, or non-infringement.

Without limiting that, we do not warrant that the Site will be uninterrupted, secure or error free, that defects will be corrected, that the Site is free of harmful components, or that any content, including assessment output and third-party headlines, is accurate, complete or current.

Some jurisdictions do not allow the exclusion of certain warranties. Where that applies to you, the exclusions above apply only to the extent permitted.

10Limitation of liability

To the fullest extent permitted by law, Parkway Food Group, its partners, employees and agents will not be liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for any loss of profit, revenue, business, goodwill, data or anticipated savings, arising out of or relating to your use of, or inability to use, the Site, however caused and on any theory of liability, even if we have been advised of the possibility of such damages.

Our total aggregate liability arising out of or relating to the Site is limited to one hundred Canadian dollars (CAD $100). This limitation does not apply to liability that cannot be limited by law, and it does not affect the terms of any separate written engagement agreement between us, which governs liability for services delivered under it.

11Indemnity

You agree to indemnify and hold harmless Parkway and its partners, employees and agents from any claim, demand, loss, liability or expense, including reasonable legal fees, arising out of your breach of these terms, your misuse of the Site, or your violation of any law or the rights of a third party.

12Governing law and disputes

These terms and any dispute arising out of them or the Site are governed by the laws of the Province of Ontario and the federal laws of Canada applicable in it, without regard to conflict of laws principles.

You agree to the exclusive jurisdiction of the courts of the Province of Ontario, sitting in Toronto, for any dispute, and you waive any objection to that venue.

Before starting a formal proceeding, we ask that you contact us so we can try to resolve the matter directly.

13General

Severability. If any provision of these terms is found unenforceable, that provision will be limited or severed to the minimum extent necessary and the remaining provisions will continue in full force.

No waiver. Our failure to enforce any provision is not a waiver of our right to do so later.

Entire agreement. These terms, together with the Privacy Policy, are the entire agreement between you and Parkway regarding the Site, and supersede any prior understanding about it. Where you have signed an engagement agreement with us, that agreement governs the services described in it.

Assignment. You may not assign these terms without our written consent. We may assign them in connection with a merger, acquisition or sale of assets.
